Payment is due within the first five (5) business days of each month. Online card payment is accepted and recommended. Late payment penalty: 5% per week on outstanding amount. EMANÚ will issue a formal invoice reflecting the tax exemption.
This contract shall be valid for [Duration], starting [Start date]. It renews automatically for equal periods unless either party provides written notice with 30 days' advance notice.
EMANÚ INTERNATIONAL SECURITY agrees to: (a) Assign bilingual (English-speaking) personnel where available and applicable; (b) Coordinate pre-arrival security briefing with CLIENT before arrival date; (c) Provide airport pickup service at designated airport; (d) Deliver trained, uniformed, armed personnel with all legally required labor benefits; (e) Maintain all required Honduran security licenses and permits; (f) Replace personnel within 24 hours upon justified request; (g) Maintain permanent communication channel with CLIENT.
(a) Provide accurate arrival information at least 48 hours before landing; (b) Designate a communication contact reachable prior to arrival; (c) Pay invoice within the first five (5) business days of each month; (d) Inform EMANÚ of any specific threats, VIP protocols or security sensitivities; (e) Not issue orders to security personnel that contravene established protocols.
Both parties shall maintain absolute confidentiality regarding all operational information, security protocols, personnel assignments, routes, schedules, and any sensitive data. This obligation remains in force for two (2) years after contract termination. Breach entitles the injured party to full damages under applicable law.
Either party may terminate for: (a) Material breach of obligations; (b) Non-payment for more than two (2) consecutive periods; (c) Acts of dishonesty or illegal conduct; (d) Duly documented force majeure. The party terminating without just cause shall pay the equivalent of one (1) month of service as compensation.
This agreement is governed by the laws of the Republic of Honduras and applicable international commercial law. Any dispute shall be resolved through binding international arbitration under the rules of the United Nations Commission on International Trade Law (UNCITRAL), at a mutually agreed neutral venue.
