III. Servicios Contratados — Alcance Exacto
Los servicios contratados bajo este plan comprenden todos los
del Plan PYME/Emprendedor y Plan Mediana Empresa, más los
siguientes, única y exclusivamente: (a)
Oficial(es) con extrema experiencia y alta disciplina, grado
militar y educación secundaria o universitaria, con formación
certificada de escuelas internacionales de seguridad; (b)
Presentación de élite con uniforme completo y corbata
institucional; (c) Servicio de atención al cliente de élite con
nivel de conciencia situacional elevado; (d) Acceso preferencial
a servicio de Guardaespaldas/Escolta Ejecutivo con
30% de descuento sobre tarifa regular vigente;
(e) Intercomunicadores con GPS integrado para trazabilidad en
tiempo real; (f) Armamento de grueso calibre más arma adicional
de respaldo debidamente registrada; (g) Chaleco antibalas
certificado más chaleco adicional; (h) Profesional con formación
en primeros auxilios y/o enfermería para respuesta médica
inmediata; (i) Acuerdo de No Divulgación (NDA) con
confidencialidad absoluta, integrado al presente contrato como
Anexo A.
Cualquier servicio no listado expresamente en esta cláusula
constituye un servicio adicional y generará costos extra. No
existe plan superior al Corporativo; los servicios adicionales
se cotizan de forma independiente.

Pago dentro de los primeros
cinco (5) días hábiles de cada mes. Mora:
recargo del 5% semanal sobre el monto adeudado.
EMANÚ emitirá factura con ISV desglosado conforme a la
legislación tributaria hondureña.
V. Vigencia y Renovación
El contrato tendrá vigencia de
12 meses,
iniciando el

renovará automáticamente por períodos iguales salvo notificación
escrita con 30 días de anticipación.
VI. Obligaciones del Prestador
EMANÚ se compromete a: (a) Proveer personal capacitado,
uniformado y con todos los beneficios de ley; (b) Garantizar
supervisión continua; (c) Responder ante incidentes conforme a
los protocolos; (d) Mantener licencias y permisos vigentes; (e)
Sustituir personal en máximo 24 horas cuando
sea requerido por causa justificada; (f) Mantener comunicación
permanente con el CLIENTE.
VII. Obligaciones del Cliente
Todas las obligaciones de los planes anteriores, más: (a)
Designar un enlace ejecutivo de nivel gerencial para
coordinación directa con EMANÚ; (b) Proveer espacio de trabajo
adecuado para el equipo de seguridad corporativa; (c) Guardar
absoluta reserva sobre protocolos, rutas y procedimientos de
seguridad; (d) Notificar cambios en la estructura organizacional
que afecten los protocolos; (e) Cancelar factura dentro de los
primeros cinco (5) días hábiles del mes.
VIII. Servicios Adicionales y Upgrades
⚠️ Todo servicio solicitado fuera del alcance del Plan
Corporativo será cotizado y facturado de forma independiente, o
implicará la migración al plan inmediatamente superior. El
CLIENTE acepta esta condición al firmar el presente contrato.
IX. Confidencialidad
Ambas partes guardarán reserva absoluta sobre información
operativa, protocolos, distribución de personal y datos
sensibles. Esta obligación permanece vigente por
dos (2) años posteriores a la terminación. El
incumplimiento dará lugar a reclamación de daños y perjuicios.
X. Rescisión
Cualquier parte puede rescindir por: (a) Incumplimiento grave de
obligaciones; (b) Falta de pago por más de
dos (2) períodos consecutivos; (c) Actos de
deshonestidad o conducta ilegal; (d) Fuerza mayor documentada.
La parte que rescinda sin causa justa pagará el equivalente a
un (1) mes de servicio como indemnización.
XI. Jurisdicción y Ley Aplicable
El presente contrato se rige por las leyes de la
República de Honduras. Para cualquier
controversia, las partes se someten a los tribunales competentes
de la ciudad de San Pedro Sula, Cortés o
Tegucigalpa, Francisco Morazán, a elección del
PRESTADOR, renunciando expresamente a cualquier otro fuero.

La aceptación digital tiene plena validez conforme a la Ley de
Comercio Electrónico de Honduras. Este contrato reemplaza
cualquier acuerdo previo entre las partes.

III. Contracted Services — Exact Scope
Services contracted under this plan include all services from
the PYME/Entrepreneur and Mid-Size Business Plans, plus the
following, exclusively and exhaustively: (a)
Officer(s) with extreme experience and high discipline, military
grade and secondary or university education, with certified
training from international security schools; (b) Elite
presentation with full uniform and institutional tie; (c) Elite
client service with elevated situational awareness; (d)
Preferential access to Bodyguard/Executive Escort service at
30% discount off regular current rate; (e)
GPS-integrated intercoms for real-time traceability; (f)
Heavy-caliber primary weapon plus a duly registered backup
weapon; (g) Certified bulletproof vest plus additional vest; (h)
Professional with first aid and/or nursing training for
immediate medical response; (i) Non-Disclosure Agreement (NDA)
with absolute confidentiality, integrated as Annex A to this
contract.
Any service not expressly listed in this clause constitutes
an additional service and will be quoted independently. There
is no plan above Corporate; additional services are priced
separately.
IV. Price, Tax and Payment

Payment is due within the first
five (5) business days of each month. Late
payment penalty: 5% per week on the outstanding
amount. Online pre-payment by card is accepted and recommended
prior to arrival. Wire transfer is accepted exclusively for
clients already operating within Honduras.
V. Term and Renewal
This contract shall be valid for
12 months, starting
[Start date]. It will automatically renew for equal periods unless either
party provides written notice with
30 days' advance notice.
VI. Provider Obligations
EMANÚ INTERNATIONAL SECURITY agrees to: (a) Provide trained,
uniformed personnel with all legally required benefits; (b)
Guarantee continuous personnel supervision; (c) Respond to
security incidents per established protocols; (d) Maintain all
required licenses and permits; (e) Replace personnel within
24 hours upon justified request; (f) Maintain
permanent communication with the CLIENT through the designated
channel.
VII. Client Obligations
All obligations from previous plans, plus: (a) Designate an
executive-level liaison for direct coordination with EMANÚ; (b)
Provide adequate workspace for the corporate security team; (c)
Maintain absolute confidentiality regarding security protocols,
routes, and procedures; (d) Notify organizational changes
affecting security protocols; (e) Pay invoice within the first
five (5) business days of each month.
VIII. Additional Services and Upgrades
⚠️ Any service requested beyond the scope of the Corporate Elite
Plan will be quoted and billed independently, or will require
migration to the next higher plan. The CLIENT accepts this
condition by signing this contract.
IX. Confidentiality
Both parties shall maintain absolute confidentiality regarding
operational information, security protocols, personnel
assignments, and any sensitive data related to service delivery.
This obligation remains in force for
two (2) years after contract termination.
Breach of this clause entitles the injured party to claim
damages.
X. Termination
Either party may terminate this contract for: (a) Material
breach of obligations; (b) Non-payment for more than
two (2) consecutive periods; (c) Acts of
dishonesty or illegal conduct; (d) Duly documented force
majeure. The party terminating without just cause shall pay the
other party the equivalent of
one (1) month of service as compensation.
XI. Governing Law and Dispute Resolution
This contract is governed by the laws of the
Republic of Honduras and applicable
international commercial law. Any dispute arising from or
related to this contract shall be resolved through
binding international arbitration under the
rules of the
United Nations Commission on International Trade Law
(UNCITRAL), with the seat of arbitration at a mutually agreed neutral
venue.
⚠️ In the event that either party resists or delays the
arbitration process in bad faith, the resisting party shall bear
all legal costs, arbitration fees, and attorney's
fees
incurred by both parties, regardless of the final outcome. This
clause is non-negotiable and survives contract termination.

No additional instructions.
Digital acceptance carries full legal validity under Honduran
Electronic Commerce Law and applicable international e-commerce
standards. This contract supersedes any prior agreements between
the parties.
